First, search teh forums. This has probably come up before.
But on your question:
* you need to "transcode" - to take a file encoded in one compressed format, and encode it into another format. Note that you will lose sound quality in this process, so it's wise to keep the original ATRAC3 files on hand. I assume you're transcoding for compatibility reasons (so you can play the songs on an mp3 player or something).
* transcoding invovles two steps: (1) convert the ATRAC3 file back to a .wav (uncompressed) format, and (2) re-encode that .wav file to mp3.
* you need to find something to decode ATRAC3. I don't know where to find a decoder, but I'm sure they're out there.
* Use Lame 3.97b to encode to mp3. Setting depends on your usage and your hearing. If you're transcoding for a portable, then I'd recommend that you use -V5 --vbr-new or -V4 --vbr-new.
