Why would you want to do that? The quality of MP3 is even worse than WMA. If you can, convert the original source to MP3.

My problem is that i have some wma files and i want to convert to mp3s because my portable player can read only those files not wma

1. decode WMA with a diskwriter (for example foobar)
2. encode with lame

(.....IF you really want to do THIS)

Encoding directly wma files with foo_clienc or with foo_lame is probably faster
dBPowerAmp is another working solution for this task.

Not sure if this is legal: If you use Winamp, delete the Windows Media plugin and add the "WMA" extension to the DirectShow plugin. Then, use the DiskWriter output plugin to create a WAV file which you can then convert to MP3, Ogg, AAC or whatever.
